By accessing and using PFORM ("Service") located at https://pform.live, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.

2.1 Grant of License
Subject to your compliance with these Terms, PFORM grants you a limited, non-exclusive, non-transferable, revocable license to:

- Use our AI tools to generate music, video concepts, and social content
- View and interact with Website content
- Create and maintain your account
- Submit, store, and process content and AI generation requests through our services
2.2 License Restrictions
Without our express written permission, you may not:
- Sell, transfer, assign, or sublicense the service or AI-generated content (except as permitted by our licenses)
- Reproduce, duplicate, modify, or distribute content from our Website
- Use automated tools (bots, scrapers, crawlers) to access the Service or generate content at scale
- Attempt to gain unauthorized access to our systems or networks
- Circumvent security measures or authentication systems
- Use the Service for illegal purposes or to violate laws
- Use AI-generated content to create deepfakes, synthetic media, or misleading representations without clear disclosure
- Remove or obscure AI-generated content attribution or source labels
2.3 Intellectual Property
All content on our Website, including text, graphics, logos, images, software, AI algorithms, and code, is the exclusive property of PFORM or licensed content providers:
- Copyright: Protected by U.S. copyright law and international agreements
- Trademarks: PFORM name and logo are registered trademarks
- AI Models: Our proprietary AI models are protected trade secrets
- License: Limited personal use only; commercial use prohibited without permission
- Infringement: Unauthorized use may result in legal action
- Account Creation and Responsibilities
3.1 Account Requirements
To use PFORM services, you must:
- Be at least 13 years old (18 for certain premium services involving music distribution)
- Provide accurate, complete, and current information
- Maintain and update your profile information
- Use only your own account; account sharing is prohibited
- Comply with all applicable laws and regulations
- If under 18, have parent/guardian consent for music distribution features
3.2 Parental Consent (Children Under 13)
COPPA Compliance: If you are under 13, your parent or legal guardian must provide verifiable consent before we collect your information[2].

3.3 Account Passwords
You are responsible for:

3.4 Account Termination
PFORM reserves the right to terminate or suspend your account:

- For non-payment of fees (if applicable)
- For copyright or intellectual property violations
- For generating content that violates our content policy
- At your request with written notice
Upon termination:
- Your license to use the Service ends immediately
- You must cease all use of the Service
- Data deletion follows our retention policy (Section 6 of Privacy Policy)
- You remain liable for obligations incurred prior to termination
- Paid fees are non-refundable
- User Conduct and Acceptable Use Policy
4.1 Prohibited Activities
You agree not to use PFORM to:
Illegal Activities:
- Violate any federal, state, or local law or regulation
- Commit fraud, forgery, or misrepresentation
- Engage in money laundering or financial crimes
- Distribute controlled substances
- Facilitate human trafficking or exploitation
- Engage in terrorist financing or sanctions violations
Harmful Content:
- Upload, post, or transmit malware, viruses, or ransomware
- Exploit security vulnerabilities or conduct hacking
- Create content that is obscene, indecent, or sexually explicit
- Harass, defame, threaten, or incite violence against individuals
- Create content that promotes discrimination based on protected characteristics
- Distribute child sexual abuse material (CSAM)
- Create deepfakes, synthetic media, or AI-altered content designed to mislead about authenticity without disclosure
AI-Specific Misuse:
- Use AI music generation to infringe on copyrighted compositions or artist styles without appropriate human input and modification
- Use AI video concepts to create non-consensual synthetic media of real people
- Use AI content tools to create deceptive social media content that misrepresents facts or identities
- Violate the terms of third-party AI models (Suno, Udio, OpenAI, etc.) used within PFORM
- Generate content that reproduces someone's likeness without consent
- Use AI-generated content to facilitate fraud, impersonation, or misrepresentation
Unauthorized Access:
- Attempt to gain unauthorized access to our systems or networks
- Access other users' accounts without permission
- Intercept communications or data belonging to others
- Bypass security measures or authentication systems
- Conduct denial-of-service (DoS) attacks
Intellectual Property Infringement:
- Upload content you don't have rights to use
- Infringe on copyrights, trademarks, or patents
- Violate third-party intellectual property rights
- Misappropriate trade secrets or confidential information
- Violate artist rights or moral rights in AI-generated content
Spam and Manipulation:
- Send spam, unsolicited bulk emails, or messages
- Create fake accounts or impersonate others
- Manipulate ratings, reviews, or recommendations
- Engage in artificial engagement farming
- Use AI to generate misleading or false social media content
4.2 User-Generated Content and AI-Generated Content
You retain ownership of content you create and upload ("User Content"), subject to AI-specific provisions:
- Responsibility: You are solely responsible for your User Content and AI-generated content
- Accuracy: You warrant that content is accurate, complete, and lawful
- Rights: You represent that you have all necessary rights to the content and AI-generated outputs
- License to PFORM: You grant PFORM a license to use, reproduce, and display content for operating the Service
- Third-Party Rights: You will not infringe on third-party rights, including artist rights, musical composition rights, or personality rights
- AI Content Attribution: You are responsible for properly attributing and disclosing AI-generated content to end users
- Removal: PFORM may remove content that violates these Terms or applicable law
4.3 AI-Generated Content Responsibility
For AI Music Generated Through PFORM:
- You acknowledge that purely AI-generated compositions may not be eligible for copyright protection[3]
- You warrant that AI-generated music does not infringe on existing copyrighted compositions
- You assume responsibility for licensing and royalty payments to original artists whose work may have influenced the AI model
- You agree to properly credit Suno, Udio, or other AI model providers in metadata where required
- You will not falsely claim authorship or perform rights over AI-generated music
- You understand that streaming platforms may limit royalty payments for purely AI-generated content
For AI Video Concepts and Scripts Generated Through PFORM:
- You warrant that generated concepts do not copy or infringe on existing protected works
- You are responsible for disclosing AI involvement when publishing video concepts to YouTube, TikTok, or other platforms[4]
- You understand that video concepts are conceptual aids and not guaranteed to produce specific results
- You assume full creative and legal responsibility for any videos produced based on PFORM-generated concepts
For AI Social Media Content Generated Through PFORM:
- You agree to clearly disclose AI involvement in generated social media content, as required by FTC guidelines and platform rules[5]
- You warrant that social content does not impersonate real individuals or organizations
- You understand that disclosure of AI use is mandatory for sponsored content and influencer marketing[5]
- You are responsible for compliance with FTC endorsement guides and platform-specific AI disclosure requirements
- You will not use AI-generated social content in ways that create misleading impressions about authenticity
4.4 Content Moderation
PFORM reserves the right to:
- Monitor, review, and moderate user content and AI-generated content
- Remove content that violates these Terms or applicable law
- Suspend or terminate accounts for prohibited content
- Report illegal content to law enforcement
- Cooperate with legal investigations
- Flag AI-generated content that violates platform policies
- Require disclosure of AI involvement in social media content
4.5 Platform-Specific Compliance
When publishing content generated by PFORM to social media platforms:
- YouTube: You agree to comply with YouTube's AI disclosure requirements for realistic content[4]
- TikTok: You agree to use TikTok's AI disclosure tool for AI-generated or significantly AI-edited content[5]
- Instagram/Meta: You agree to disclose AI involvement in generated content as required by Meta's policies
- Music Streaming: You agree to properly attribute AI-generated music in metadata and comply with streaming platform policies
- Fees and Payment Terms
5.1 Service Fees
- Free Tier: Some PFORM services are available free of charge (with usage limits)
- Paid Services: Premium features and unlimited AI generation require payment (pricing available on Website)
- Billing: Charges are billed according to your selected plan (monthly, annual, or per-use)
- Currency: All fees are in U.S. dollars unless otherwise stated
- Taxes: You are responsible for any applicable taxes on your purchase
5.2 Payment Methods
- Accepted Methods: Credit/debit cards, digital wallets, or other methods we specify
- Processing: Payments processed by third-party providers (Stripe, PayPal, etc.)
- Security: Payment information is encrypted and never stored on our servers
- Authorization: You authorize PFORM to charge your payment method
- Liability: We are not liable for third-party payment processor errors
5.3 Billing and Renewals
- Automatic Renewal: Subscription plans automatically renew unless canceled
- Billing Date: You will be charged on the same date each billing cycle

5.4 Late Payment

5.5 Price Changes
- Notification: PFORM will notify you 30 days before price changes
- Effective Date: Price changes apply to future billing cycles only
- Current Billing: Price changes do not affect your current billing cycle
- Acceptance: Continued use of Service constitutes acceptance of new prices
- Cancellation Right: You may cancel within 30 days of price increase

- Uptime Goal: We aim for 99.5% monthly uptime (excluding scheduled maintenance)

- AI Model Updates: AI generation features may be temporarily unavailable during model updates
- Interruptions: PFORM is not liable for service interruptions or data loss during maintenance

- PFORM does not warrant that AI-generated music will be copyright-free or royalty-free
- PFORM does not guarantee that AI-generated compositions will be suitable for commercial use or music licensing
- PFORM does not assume responsibility for music that may inadvertently resemble copyrighted works
- Users assume full responsibility for copyright clearance and licensing of AI-generated music

AI Video Concept Generation:

- PFORM does not warrant that AI-generated social content will perform well or generate engagement

- No Data Loss Liability: PFORM is not liable for lost profits, lost data, or lost opportunities
- No Liability for AI Outputs: PFORM is not liable for errors, biases, or copyright issues in AI-generated content
- No Liability for Moderation: PFORM is not liable for removed content or account suspension
- No Liability for Third Parties: PFORM is not liable for third-party services, integrations, or AI model providers
- No Liability for Social Media Consequences: PFORM is not liable for content removal, demonetization, or account suspension on social platforms
- Liability Cap: Total liability shall not exceed the fees you paid in the last 12 months (minimum $100)
7.5 Exceptions to Limitations
Limitations do not apply to:
- Personal injury or death caused by gross negligence or willful misconduct
- Fraud or intentional misrepresentation
- Your indemnification obligations
- Violations of intellectual property rights
- As prohibited by applicable law
- Claims arising from PFORM's violation of copyright law with actual knowledge
7.6 User Assumption of Risk
You assume all risks associated with:

- Loss of data or files
- Service interruptions

- Indemnification
8.1 Your Indemnity
You agree to indemnify, defend, and hold harmless PFORM and its officers, directors, employees, agents, and representatives from any claims, damages, losses, liabilities, or expenses arising from:
- Your use of the Service
- Your User Content or AI-generated content or violation of rights of others
- Your violation of these Terms or applicable law
- Your violation of third-party intellectual property rights
- Your failure to disclose AI involvement in content
- Your AI-generated content that infringes copyrights, trademarks, or personality rights
- Actions or statements you make
- Claims from other users related to your conduct
- Copyright claims related to music, video, or content you generate with PFORM
- FTC violations or platform policy breaches related to AI content disclosure
8.2 Defense Obligation
PFORM has the right to control the defense of any indemnified claim:
- You shall pay reasonable attorney fees and settlement costs
- You shall not settle claims without our written consent
- We will cooperate reasonably in the defense

9.1 PFORM Intellectual Property
All intellectual property in the Service, including:
- Website design, layout, and functionality
- Software, code, and algorithms
- AI models and machine learning systems
- Content, text, graphics, and images
- Trademarks, service marks, and logos

Are the exclusive property of PFORM and protected by copyright, trademark, patent, and other intellectual property laws.
9.2 User Content Ownership
You retain all rights to User Content you create:

- Sublicense: PFORM may sublicense User Content to third-party service providers
- Duration: License continues after termination for operational purposes
- Removal: You may request removal of User Content
9.3 AI-Generated Content Ownership
Ownership of AI-Generated Outputs:
- You retain ownership of AI-generated content created through PFORM (music, video concepts, social posts)
- PFORM retains ownership of the underlying AI models and algorithms
- Your ownership is subject to licensing restrictions from third-party AI model providers (Suno, Udio, OpenAI, etc.)
- Purely AI-generated compositions may not be eligible for copyright protection and may be considered public domain[3]
- PFORM may use anonymized and de-identified versions of your AI prompts and outputs to improve AI models
Licensing Restrictions:
- You may not reverse-engineer or attempt to extract AI models from generated outputs
- You may not use generated content to create competing AI models or services
- Commercial use of generated content may require additional licensing from third-party AI providers
- You must comply with all licensing terms of underlying AI models
9.4 Feedback and Suggestions
Any feedback, suggestions, or ideas you provide to PFORM:
- Becomes PFORM's exclusive property
- May be used without compensation or attribution
- Grants PFORM a perpetual, royalty-free license
- Includes feedback on AI model performance and quality
9.5 DMCA Compliance
PFORM complies with the Digital Millennium Copyright Act (DMCA):
- Copyright Claims: We respond to valid DMCA takedown notices
- Counter-Notices: Users may file counter-notices under DMCA

10.2 Dispute Resolution Process
Step 1: Informal Resolution

- Include your name, account information, and detailed description
- We will attempt to resolve within 30 days
Step 2: Mediation (Optional)
- If informal resolution fails, either party may request non-binding mediation
- Mediation conducted in Memphis, Tennessee by neutral mediator
- Each party bears its own costs; mediator costs split equally
- Mediation period: 60 days from request
Step 3: Arbitration or Litigation
- If mediation fails, disputes resolved through binding arbitration or litigation
- Arbitration conducted in Memphis, Tennessee under AAA Commercial Arbitration Rules
- Arbitrator selected by mutual agreement or AAA procedures
- Arbitration decision is final and binding
10.3 Class Action Waiver
You agree not to pursue claims on a class, collective, or representative basis:

- You waive right to participate in class action against PFORM
- You waive right to jury trial

11.4 API Terms
If you use PFORM API:
- Usage: API is for authorized use only
- Rate Limits: You agree to comply with published rate limits
- Monitoring: PFORM monitors API usage and reserves right to suspend access
- Changes: PFORM may modify or discontinue API with notice
- Downtime: PFORM is not liable for API downtime or errors

12.1 Termination by PFORM
PFORM may terminate or suspend your account:

- For non-payment of fees
- For 90 days of inactivity (optional)

12.2 Termination by You
You may terminate your account:
- Anytime by deleting your account through settings

- Subject to payment obligations for current billing period
12.3 Effect of Termination
Upon termination:
- Your license to use Service ends immediately
- You lose access to your account and generated content
- Data deletion follows our Privacy Policy retention schedule
- Generated AI content remains your property (subject to licensing restrictions)
- Survival of clauses: Intellectual Property, Limitation of Liability, Indemnification, Governing Law continue in effect

- No Other Terms: No other terms, conditions, or agreements apply
- Modification: These Terms may only be modified in writing signed by authorized representatives
14.2 Severability
If any provision of these Terms is found invalid or unenforceable:
- Invalid provision is severed
- Remaining provisions continue in full force
- Invalid provision reformed to be enforceable if possible

- Are provided without warranty of suitability for your specific project or platform
By using PFORM's video generation tools, you:

- Warrant that any video content produced from PFORM concepts will not violate third-party rights

Content Transparency & Disclosure Requirements

Limitation of Liability - AI Content
In addition to the liability limitations in Section 7 of the Terms of Service, you expressly waive and release any claims against PFORM arising from:

- Copyright infringement, trademark violation, or personality rights issues in AI outputs
- Changes to or downtime of third-party AI models or infrastructure (Suno, Udio, OpenAI, etc.)
- Your failure to implement reasonable human review, verification, or legal compliance checks
- Removal, suppression, demonetization, or platform violations related to AI-generated content
- Loss of income or monetization due to copyright claims or platform enforcement
- Any consequences of publishing AI content without proper disclosure or licensing
To the fullest extent permitted by applicable Tennessee, state, and federal law, any remaining liability relating to AI-generated content is capped at the amount you paid PFORM in the 12 months prior to the claim (minimum $100).
TERMS SPECIFIC TO AI-GENERATED CONTENT

The following provisions apply in addition to the main Terms of Service and address PFORM's AI tools and AI-generated content:
- User Responsibility and Review
1.1 Mandatory Review Process

- You may modify, reproduce, and distribute generated content subject to Section 2.3 below
- You may commercially monetize generated content on music streaming platforms, YouTube, TikTok, etc.
- You may create derivative works based on generated content
Important Limitations:
- Ownership is subject to underlying AI model licensing from third-party providers (Suno, Udio, OpenAI, etc.)
- Purely AI-generated music may not be eligible for copyright protection and may be public domain[3]
- Your rights may be limited by music licensing agreements and streaming platform policies
- Commercial rights require proper licensing and royalty payments
2.2 PFORM's Rights to Your Data
You grant PFORM a non-exclusive, worldwide license to:
- Use your AI prompts, inputs, and generated outputs to operate and improve the service
- Train and fine-tune AI models using your prompts and outputs (unless you opt-out)
- Create de-identified and anonymized datasets from your usage patterns
- Use aggregated data for analytics and service improvement
- Share anonymized data with third-party AI model providers for model training
Privacy Protection:
- De-identified data cannot be re-identified to you
- Sensitive personal information is excluded from AI model training

- Creating unlawful content (encouraging violence, illegal drugs, human trafficking, etc.)
- Harassment or harm: Defaming, harassing, bullying, threatening, or inciting violence against any individual or group
- Discrimination: Creating content that discriminates based on protected characteristics (race, gender, religion, disability, etc.)
- Non-consensual synthetic media: Creating deepfakes, altered representations, or synthetic media of real people without consent, especially for sexual or political purposes
- Copyright infringement: Reproducing copyrighted music, scripts, or artwork without permission
- Deceptive marketing: Creating false endorsements, testimonials, or misleading advertising (violates FTC standards)
- Misinformation: Publishing AI-generated "news" or factual claims designed to mislead consumers
